Bylaws

Article I: Name

The name of the organization shall be the New York Chapter of the American College of Health Care Administrators.

Article II: Purpose

Section 1: The purpose of the Chapter shall be to implement and execute, at the local level, all the objectives and programs of the ACHCA and to perform those tasks assigned to it from time to time objectives of organizing and educating long term care Administrators.

Section 2: The New York Chapter is organized exclusively for charitable, religious, educational and scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exemption organizations under Section 501(c)(3) of the Internal Revenue Code or corresponding section of any future federal tax code.

Section 3: Inurement – No part of the net earnings of the chapter shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the Chapter shall be authorized and empowered to pay reasonable compensation for services and to make payments and distributions in furtherance of the purposes set forth in Article II hereof. No substantial part of the activities of the Chapter shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the Chapter shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office. Notwithstanding any other provision of these articles, the Chapter shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under Section 501(c)(3) of the Internal Revenue code, or corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under Section 170(c)(2) of the Internal Revenue Code, or corresponding section of any future federal tax code.

Article III: Membership

Section 1: Membership in the Chapter shall be open to members in good standing of the ACHCA who are practicing and/or residing within the geographical boundaries of New York State.

Section 2: Classes of membership shall be: 1) Active member of the College, including Member, Fellow, and Certified Member or Fellow; 2) Senior Retired member; 3) Associate ‘Member; 4) Student member; 5) Honorary Fellow; and 6) Fellow Emeritus; 7) Bridge Member.

Article IV: Dues

Section 1: The members of the Chapter shall set Chapter dues. The rate of the Chapter dues will be determined by two-thirds (2/3) majority of active members present and voting at an annual meeting of the New York Chapter.

Section 2: The Chapter membership shall be advised of proposed changes in the dues structure at least thirty (30) days prior to the New York Chapter’s annual meeting.

Section 3: A member shall be deemed to be a member in good standing of the ACHCA only if he/she has paid both the ACHCA and Chapter dues. Nonpayment of dues is grounds for loss of membership in both the ACHCA and the New York Chapter.

Article V: Voting

Active members or Fellow Emeritus members in good standing shall be entitled to vote on any Chapter matter.

Article VI: Elections

Section 1: The election of officers shall be held at the annual meeting of the Chapter. The officers of the chapter shall be: President, Vice President, First Vice President, Treasurer, Secretary and
Section 2: The Nominating Committee, composed of not less than 3 or more than 5, appointed by the President, shall formally make nominations and circulate the names to the membership at least 30 days prior to the annual meeting. Additional nominations may be made from the floor.

Section 3: There shall neither be nominating nor seconding speeches nor any speeches by candidates nor campaigning in any manner.

Section 4: All officers shall be elected for one-year terms and may serve two additional terms if re-elected. They will take office at the New York Chapter Annual Convention. If the President is unable to perform duties because of death, health or other reasons, the Vice-President shall succeed to the office of President and shall continue to serve as President for the unexpired term. The office of Vice-President shall remain vacant until the next annual meeting and election of officers. All other vacancies shall be filled by the Executive Committee. If the President and Vice-President are unable to perform the duties of their offices, the Executive Committee shall appoint one member from the Committee as President Protempore to serve the remainder of the unexpired term. All elected Chapter officers shall attend their Chapter and regional meetings unless excused by the President.

Section 5: If the office of either the Secretary or Treasurer shall become vacant, the vacancy shall be filled by the New York Chapter’s President through appointment. This person shall serve the remainder of the unexpired term.

Article VII: Officers

Section 1: The officers of the Chapter shall be Active members and shall consist of: President, Vice-President, 1st Vice-President, Treasurer, Secretary, and Immediate Past-President.

Section 2: The Executive Committee shall consist of the elected officers and the Immediate Past-President.

Section 3: The Executive Committee shall have the responsibility to conduct the business of the Chapter and to carry out any programs delegated to it by the Board of Governors of ACHCA.

Section 4: The duties of the officers shall be those compatible with comparable officers described in the ACHCA By-Laws.

Section 5: The Executive Committee shall have the power to act on behalf of the Chapter between Chapter meetings.

Article VIII: Committees

Section 1: Standing Committees. The following committees are Standing Committees: Advocacy, Awards and Community Relations, Communications, Education, Ethics and Standards Membership, and Nurse Administrators.

Section 2: The Chapter President shall appoint the Standing Committees as may be deemed necessary with the approval of the Executive Committee.

Section 3: Other committees shall be appointed by the President with the approval of the Executive Committee.

Article X: Amendments

Section 1: Any proposed amendments to these By-Laws must be approved by majority vote at the
Section 2: Any proposed changes in these By-laws shall be reviewed by the Chapter Executive Committee. After such review the Chapter By-laws must be passed by two-thirds (2/3) majority of active members present and voting at a special or annual meeting.

Section 3: The Chapter shall submit annually to the National Office for approval by the National By-laws Committee and ACHCA Board of Governors a copy of current By-laws, even if these By-laws contain no recent changes.

Article IX: Meetings

Section 1: The Executive Committee shall meet at least annually, or more frequently as necessary to meet the needs of the Chapter.

Section 2: The annual meeting of the Chapter shall be held at a time and place designated by the Executive Committee prior to the ACHCA National Convocation.

Section 3: Special meetings may be called by the President and/or Executive Committee or a petition of any 10 members to the Executive Committee upon 30 days notice.

Article XIII: Insignia

The insignia of the ACHCA may be used for all official papers and correspondence of the Chapter in conjunction with the Chapter designation.

Article XII: Reports

President semiannually, to the ACHCA Board. The fiscal year shall be January 1-December 31.

Section 2: The Treasurer shall present a fiscal report for all Chapter Board meetings, annual Chapter meetings and an annual report at the annual meeting.

Section 3: An annual report of all the Chapter’s activity shall be submitted to the ACHCA Regional Governor or to the ACHCA Board of Governors whenever requested by them.

Section 4: Additional reports, signed by the officers, shall be submitted to the ACHCA Regional Governor or to the ACHCA Board of Governors whenever requested by them.

Article XIV: Activity

The Chapter shall clearly identify all of its activities of every nature as Chapter activities.

Article XI: Rules

Robert’s Rules of Order, newly revised, shall apply to all Parliamentary procedures.

Article XVIII: Dissolution

Upon the dissolution of the Chapter, assets shall be distributed for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not so disposed of shall be disposed of by the Court of Common Pleas of the county in which the principal office of the Chapter is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.

Article XVII: ACHCA

The chapter shall be governed by any future changes in the By-Laws of the ACHCA.  The chapter  shall conduct itself in accordance with the provisions of these By-Laws and the By-Laws of the  ACHCA.

Article XVI: National  Disclaimer

Chapter serve to impose any liability of any kind or character on the part of the ACHCA. The agents, or employees.reverse shall hold true for the Chapter officers, agents, or employees, and the  national officers, agents, or employees.
